Terms of Service

These Terms of Service (“Terms” or “Agreement”) are a binding legal contract between you and BOSS Startup Science, Inc., a Delaware corporation (“Startup Science,” “we,” “us,” or “our”). They govern your access to and use of:

  • The website and subdomains;
  • Our software platform, tools, courses, content, and resources;
  • Any communities, programs, or services operated by or through Startup Science

(collectively, the “Services”).

By accessing or using the Services, creating an account, or clicking “I agree” (or similar), you:

  • Acknowledge that you have read and understood these Terms and our Privacy Policy;
  • Agree to be bound by them; and
  • Represent that you have authority to bind yourself and, if applicable, your organization.

If you do not agree, or do not have such authority, you must not use the Services.

1. Eligibility

The Services are intended for business and professional users. You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that you:

  • Are not barred from using the Services under applicable law or sanctions; and
  • If acting on behalf of an organization, are authorized to accept these Terms for that organization.

2. Account Registration and Security

Certain features require you to create an account.

You agree to:

  • Provide accurate, current, and complete information;
  • Maintain the confidentiality of your login credentials;
  • Be responsible for all activity occurring under your account; and
  • Notify us promptly at support@startupscience.io of any suspected unauthorized access.

We may suspend or terminate accounts that violate these Terms or pose security or legal risks.

3. License and Acceptable Use

Subject to these Terms and any applicable order or subscription, Startup Science grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You agree not to:

  • Copy, modify, or create derivative works of the Services or any Startup Science materials;
  • Resell, sublicense, or distribute the Services to third parties without our consent;
  • Share login credentials or enable unauthorized access;
  • Use automated tools (such as bots or scrapers) except approved accessibility tools;
  • Bypass or interfere with security, access controls, or performance of the Services;
  • Aggregate multiple organizations under a single account without authorization.

All rights not expressly granted are reserved by Startup Science.

4. Intellectual Property, User Content, and Feedback

4.1 Startup Science Materials

All content and materials provided by Startup Science, including software, code, designs, text, videos, courses, templates, methodologies, scoring models, maturity models, documentation, and branding (collectively, “Startup Science Materials”) are owned by Startup Science or its licensors and protected by law. No ownership rights are transferred to you.

4.2 User Content

You (or your organization) retain ownership of any content, data, or materials you upload or submit through the Services (“User Content”). By submitting User Content, you grant Startup Science a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, adapt, display, and distribute such content as necessary to:

  • Provide and operate the Services;
  • Facilitate collaboration as configured by you or your organization;
  • Ensure security, support, and compliance; and
  • Fulfill our obligations under these Terms.

When you share User Content with other users or organizations, they may retain copies. We are not responsible for their use of content once shared.

4.3 Aggregated and Anonymized Data

We may generate aggregated and/or anonymized data derived from use of the Services (“Aggregated Data”). Aggregated Data does not identify you or your organization and is owned by Startup Science. We may use Aggregated Data to improve services, develop features, and for analytics and benchmarking.

4.4 Feedback

If you provide suggestions, comments, or ideas (“Feedback”), you grant Startup Science the right to use such Feedback without restriction or compensation. You assign all necessary rights in Feedback to Startup Science.

5. Fees and Payment

Where fees apply, the applicable pricing, billing schedule, and terms are set out in your order form, subscription, or checkout page.

  • Payments are processed by third-party providers such as Stripe.
  • Unless stated otherwise, all fees are non-refundable.
  • We may adjust fees prospectively by providing notice in accordance with these Terms.

Failure to pay may result in suspension or termination of access.

6. Data Protection and Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data in compliance with applicable laws (including GDPR, CCPA/CPRA, and others).

When Startup Science processes personal data on behalf of an organization using the platform, the parties agree that our Data Processing Addendum applies and is incorporated into these Terms.

7. Prohibited Conduct

You agree that you will not:

  • Use the Services in violation of any applicable law or regulation;
  • Upload or share content that is unlawful, infringing, defamatory, harassing, or harmful;
  • Introduce malware, viruses, or harmful code;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Attempt to gain unauthorized access to accounts, systems, or data.

8. Third-Party Services and Links

The Services may link to or integrate with third-party tools and services (such as payment processors, analytics, or CRM tools). These third parties are governed by their own terms and policies, and we are not responsible for their practices.

9. Security

You must not:

  • Probe, scan, or test the vulnerability of any system without authorization;
  • Circumvent security or authentication measures;
  • Overload or disrupt our infrastructure;
  • Access data not intended for you.

We may investigate suspected violations and cooperate with law enforcement.

10. Disclaimers

To the maximum extent permitted by law, the Services and all Startup Science Materials are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.

Startup Science does not provide legal, financial, investment, or accounting advice.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Startup Science and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, or data, arising out of or related to your use of the Services.
  • Our total aggregate liability for any claims arising out of or related to the Services or these Terms shall not exceed the greater of:
    • three (3) months of fees paid by you for the Services giving rise to the claim; or
    • US $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Startup Science and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Services;
  • Your User Content; or
  • Your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Services, in whole or in part, if:

  • You breach these Terms or other applicable agreements;
  • You fail to pay amounts due; or
  • We are required to do so by law or to protect our platform or users.

Upon termination, your right to access the Services ends. We may retain or delete your data in accordance with our Privacy Policy and legal obligations. Unless required by law or agreed otherwise in writing, no refunds will be provided.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules.

You agree that any disputes arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

If the laws of your country provide you with non-waivable consumer rights or mandatory forum protections, nothing in these Terms limits those rights.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

16. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

17. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Startup Science.

18. Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or addenda (including the Data Processing Addendum), constitute the entire agreement between you and Startup Science regarding the Services.
